Battery issues - shutdown light on

Hi All,
Our shutdown circuit is always active with the following symptoms
Notes:
* The non working unit took a full charge when the new cells were installed - this charge cycle lasted over an hour and will now only briefly trickle charge when the battery is plugged back into the charger.
* When you first power on the battery pack (not hooked up to ad box) both the power and shutdown lights come on at what seems about half brightness. After about 2 seconds the power light goes off and the shutdown light goes bright red. If you turn it off and on again the same thing happens but the delay is 0.5 seconds instead of 2.
* Our lab technician used a voltmeter and check that each of the battery cells was putting out the same volts.
